OFFICIAL RULES – ART ROOM AID CREATE A LIST, WIN A LIST SWEEPSTAKES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED.

ENTRY PERIOD: The Art Room Aid Create a List, Win a List Sweepstakes (the "Promotion") begins at 12:00:00 AM Central Time ("CT") on 9/21/11 and ends at 11:59:59 PM CT on 11/27/11 (the "Promotion Period"). Sponsor's computer is the official time keeping device for the Promotion. Sponsor: Dick Blick Holdings, Inc., P.O. Box 1267, Galesburg, IL 61402-1267.

ELIGIBILITY: This Promotion is open only to legal residents of the U.S. and D.C., who are 18 years of age or older as of date of entry, except for employees of Sponsor, their respective parent companies, subsidiaries, and affiliates and their immediate family members or household members, regardless of where they reside.

HOW TO ENTER: To participate in the Sweepstakes, log on to www.ArtRoomAid.com and follow the on-screen instructions. Create a profile for your project or classroom. To create a profile, you will need the contact information of the organization you are representing and to select the supplies the organization needs to complete the project. All supplies must be selected from Blick Art Materials' merchandise. Each completed supply list created will receive 1 (one) entry into the Sweepstakes. Limit 5 (five) entries per person, per email address, per day.

DRAWINGS: Drawing will be conducted by Marden-Kane, Inc., an independent judging organization, whose decisions are final and binding on all matters relating to this Promotion. Drawings to be conducted on or about 11/28/2011.

GENERAL RULES: Incomplete or inaccurate Entries are void. By entering, Entrants acknowledge compliance with these Official Rules including all eligibility requirements.

PRIZES: Ten (10) prizes will be awarded. The registered project owner's organization will be awarded the supply list of Blick Art Materials' merchandise (maximum retail value $300.00 each). Total of 10 prizes awarded, total approximate retail value $3,000.00. Odds of winning depend on the number of eligible entries received.

PRIZE RESTRICTIONS & REQUIREMENTS: Prizes are non-transferable, no substitutions allowed, except at the discretion of the Sponsor. Awarding of prizes may not be exchanged for the actual cash value of the prize except with the approval of the Sponsor. Taxes, and all other expenses not specified herein, if any, are the responsibility of the winner. Winners will be notified by e-mail or letter within 5 business days of drawing date. By entering the Sweepstakes, entrants agree to the use by Sponsor and its designees of their name and state of residence and photographs/likenesses for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, notification, or permission, except where prohibited by law. Should the potential winner decide to decline the prize for any or no reason whatsoever, Sponsor shall have no further obligation to that potential winner, and an alternate potential winner will be selected. Allow 6-8 weeks for prize delivery. Prize images may not reflect the actual size, style, color or models of the actual prizes due to printing variations and/or manufacturer's updates. By participating in the Promotion, Entrants agree to release, defend and hold harmless Sponsor and its affiliates, licensees, parents, franchisees, subsidiaries, advertising and promotion agencies and their respective employees, officers, directors, shareholders, attorneys, representatives, Entrants, successors and assigns (collectively "Releasees") from any and all liability for any injuries, losses or damage of any kind which may arise in connection with this Promotion or the acceptance and/or use of any prize. In the event that Sponsor should bring any action or claim arising out of this Promotion against Entrant(s), in which Sponsor prevails, Entrant(s) shall pay to Sponsor any and all costs incurred by Sponsor in, including actual attorneys' fees, court costs, fees, and all other costs associated with such action. In any event, all Entrants' claims, judgments and rewards shall be limited to actual out-of-pocket sweepstakes costs incurred, including costs associated with participating in this promotion, but in no event attorneys' fees. Void where prohibited. Any issues concerning the validity, interpretation or enforceability of these Official Rules, or the rights and obligations of Entrants and Sponsor, shall be governed by and construed in accordance with the laws of Illinois, USA, without giving effect to any conflict of law, which might find otherwise. The Promotion is subject to all applicable federal, state and local laws and regulations.

INTERNET: Entrants further agree that the Releasees are not responsible for the following: (a) Electronic transmissions, entries or submissions that are late, incomplete, inaudible, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason; (b) Any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures and/or human error that may occur in the transmission, receipt or processing of entries or related materials; or for destruction of or unauthorized access to, or alteration of, entries or related material; (c) Failed or unavailable hardware, network, software or telephone transmissions, damage to Entrants' or any person's computer and/or its contents related to or resulting from participation in this Promotion, or (d) Causes beyond Sponsor's reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (e) Any entries submitted in a manner that is not expressly allowed under these rules (all such entries will be disqualified); (f) Any printing errors in these Full Official Rules or in any advertisements or correspondence in connection with this Promotion. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Promotion should virus, bugs, fraud, hacking or other causes beyond the control of the Sponsor corrupt the administration, security or proper play of the Promotion. In such cases, notice to this effect will be posted on the website at www.DickBlick.com/ArtRoomAidGiveaway and winner will be determined from all eligible entries received prior to cancellation. If, in Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Promotion or if technical difficulties compromise the integrity of the Promotion, the Sponsor reserves the right to void suspect entries and/or terminate the Promotion and award the prize in its sole discretion. The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically enter repeatedly is prohibited, and the use of automated devices will cause disqualification. In the event of a dispute as to the identity of an Entrant based on an e-mail address, the Entry in question may be disqualified subject to the judges' discretion.

CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

WINNER'S LIST: The winners for this Promotion will be posted on www.DickBlick.com/ArtRoomAidGiveaway for a period of 30 days following prize award.
